User Agreement

Welcome to YukoPay. These User Terms form a binding agreement between you and YukoPay Inc. (“YukoPay”, “we”, “us”, or “our”) governing access to and use of our website, our Google Forms add-on, checkout experiences, and related services (collectively, the “Service”).
By visiting our website, installing the add-on, or otherwise using the Service, you agree to these User Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. Acceptance and eligibility
These User Terms apply to all visitors, account holders, and customers who access the Service. You must be the age of legal majority in your jurisdiction to use payment services and to accept this agreement. If you are under the age of majority, you may not use the Service.
When you connect a payment processor through YukoPay, you also authorize us to collect platform fees through that processor as described in the Fees section below.
2. Changes to the Service and these terms
We may revise these User Terms, the website, or the Service at any time. Updates take effect when posted on this page with a revised “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance. We recommend reviewing these terms periodically.
We may modify, suspend, or discontinue any part of the Service at any time without notice. We are not liable if the Service is unavailable for any period or for any reason.
3. Privacy and data retention
Our Privacy Policy explains how we collect, use, and disclose personal information. By using the Service, you consent to those practices.
To keep the platform efficient, we may delete or anonymize information when it is no longer needed for the purposes for which it was collected, or when permitted or required by law. You acknowledge that we may remove data that is no longer necessary to operate the Service.
4. Cookies
We use cookies and similar technologies to operate the website, remember preferences such as language and display currency, and understand how visitors use our pages. By using the Service, you agree to our use of cookies as described in our Privacy Policy. You may disable cookies in your browser, though some features may not function correctly.
5. Fees and charges
By using the Service, you authorize YukoPay to instruct your connected payment processor to deduct applicable platform fees from each transaction and remit them to us. To facilitate collection, you authorize us to share relevant business and transaction information with your payment provider. If your processor cannot deduct our fees, we may invoice you directly. You remain responsible for any amounts owed if customer payouts are insufficient to cover our fees.
YukoPay is not responsible for fees charged by third-party payment processors (such as Stripe, PayPal, or Square). Processor rates, chargebacks, and merchant-service charges are set by those providers, not by YukoPay.
Unless stated otherwise, platform fees for each transaction processed through the Service are:
- Transactions up to $5.00 (or equivalent in your transaction currency): no YukoPay platform fee
- Transactions from $5.01 to $15.00: a fixed fee of $0.30 per transaction
- Transactions from $15.01 to $60.00: a fixed fee of $0.40 per transaction
- Transactions above $60.00: 0.7% of the transaction total

Foreign currency
Fees are generally assessed in the currency of the underlying transaction when that currency is USD, CAD, GBP, or EUR. Other currencies may be converted using a prevailing reference rate. Foreign exchange, bank, or processor conversion charges are your responsibility.
Recurring and subscription payments
If you use YukoPay to collect recurring or subscription payments, the platform fee above applies to each individual charge event. Fee collection on recurring payments depends on the capabilities of your chosen payment processor.
Taxes
Listed fees may be inclusive of applicable taxes where required. We may add and remit sales tax, VAT, GST, or similar levies on platform fees where legally required, with notice where permitted.
6. Transactions through the Service
Sales of goods or services that you process using YukoPay remain subject to these User Terms and to the terms of your payment processor. You are solely responsible for compliance with laws applicable to your business, your forms, and your customers. YukoPay is not responsible for your compliance with third-party terms or regulations.
7. Acceptable use
You may use the Service only for lawful purposes and in accordance with these User Terms and your agreements with payment providers. We may suspend or terminate access at any time if we believe you have violated these terms.
You agree not to:
- Compromise the security or availability of the Service
- Reverse engineer, decompile, or disassemble any part of the Service except where law expressly permits
- Upload malware or interfere with other users’ access
- Violate intellectual property, privacy, or other legal rights
- Use the Service for fraud, spam, harassment, or unlawful activity
- Violate Google Workspace, payment processor, or other third-party terms of service
- Submit false, misleading, or exploitative content
8. Information security
We use administrative, technical, and physical safeguards designed to protect personal information. You are responsible for securing your devices, accounts, and credentials. Internet transmission is never completely secure, and you share information at your own risk.
Keep account credentials confidential, log out of shared devices, and notify us promptly of unauthorized access. You may not attempt to bypass authentication or probe the Service for vulnerabilities.
9. Intellectual property
The Service, including software, design, text, graphics, logos, and other content, is owned by YukoPay or its licensors and protected by intellectual property laws. The YukoPay name and marks may not be used without our prior written permission.
We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these User Terms. You may not copy, modify, distribute, or create derivative works except as expressly permitted.
10. Third-party services and links
The Service integrates with and may link to third-party websites and services, including Google and payment processors. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.
11. Disclaimers and limitation of liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
To the maximum extent permitted by law, YukoPay and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity arising from your use of the Service.
Where liability cannot be excluded, our total liability for any claim arising from the Service is limited to the platform fees you paid to YukoPay in the three (3) months before the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless YukoPay and its affiliates, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your forms or transactions, your violation of these User Terms, or your violation of any law or third-party right.
13. Dispute resolution and governing law
Before starting formal proceedings, contact us at support@yukopay.com and allow at least thirty (30) days to resolve the dispute informally.
These User Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for disputes arising from the Service.
14. General provisions
If any provision of these User Terms is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
These User Terms together with our Privacy Policy constitute the entire agreement between you and YukoPay regarding the Service and supersede prior agreements on the same subject.
